Anthropic S-1 Filing: What It Reveals and Leaves Blank

October 30, 2026  |  Anthropic Stock News

The Anthropic S-1 is the registration statement the company filed with the SEC on October 26, 2026 to sell shares to the public. It gives the first full public view of the business. First-half 2026 revenue was $16,286 million. The operating loss was $693 million and the net loss was $80,748 million. It leaves the share count, the price range, and the listing date blank.

What is the Anthropic S-1?

An S-1 is the form a company files with the SEC to register shares for a public offering. It contains the prospectus – the document investors read before buying. The prospectus covers the business, the audited accounts, the risk factors, the share structure, and who is selling. For a company that has never reported publicly, it's the first time the numbers are filed rather than leaked or estimated.

When did Anthropic file it, and where can you read it?

Anthropic filed its public S-1 on October 26, 2026, nearly five months after a confidential draft submitted on June 1. The filing is on SEC EDGAR under Anthropic, PBC, CIK number 2130357. Ernst & Young LLP audited the 2025 accounts, and Grant Thornton LLP audited 2023 and 2024.

The interim figures for 2026 and 2025 are unaudited. The full-year figures come from audited statements.

The filing also reports net revenue retention of about 900% as of September 30, 2026. And it shows cash and cash equivalents of $112.4 billion plus short-term investments of $19.3 billion at June 30, 2026. Our article on Anthropic's revenue compares the reported figures with the run-rate numbers in the press.

Why is the net loss so much larger than the operating loss?

Because of a non-cash accounting charge. The first-half 2026 net loss includes a $72,388 million change in the fair value of convertible notes, derivative liabilities, and SAFEs. The filing says the rise in Anthropic's own valuation drove that change. Our article on the $80.7 billion net loss follows every line between the operating loss and the net loss.

What does the S-1 say about the share structure?

The IPO is for Class A common stock, listed on the Nasdaq Global Select Market under the symbol ANT. The S-1 says Anthropic will be a controlled company under Nasdaq rules. A single Class F share held by a company owned by the seven co-founders carries a fixed 50.1% of the vote. The Long-Term Benefit Trust holds a single Class T share that elects a majority of the board. Anthropic is incorporated in Delaware as a public benefit corporation.

The filing also sets out the risks the company sees and the lock-up terms for insiders. Our articles on Anthropic's risk factors and the Anthropic lock-up cover each in detail. For what the filing means for the stock, see our Anthropic IPO guide.

What does the filing leave blank?

Several numbers that drive the valuation:

  • The number of Class A shares offered and the price range.
  • The prospectus date.
  • Revenue for the three months to September 30, 2026. The Financial Times and Bloomberg reported on October 14 that Anthropic told prospective investors third-quarter revenue reached $16.8 billion.
  • The total committed spend on compute and infrastructure in the summary section.

Amended filings normally fill in the blanks before pricing.

Key takeaways
  • The S-1 shows revenue of $16.3 billion in the first half of 2026, about 14 times the same period a year earlier.
  • The $80.7 billion net loss is mostly a $72.4 billion non-cash charge tied to Anthropic's rising valuation. The operating loss was $693 million.
  • The share count, price range, and listing date are still blank, so the valuation can't be worked out from this filing.
