Anthropic Lock-Up: When Insiders Can Sell After the IPO
October 30, 2026 | Anthropic Stock News
The Anthropic lock-up releases shares in stages over the first year or so. The S-1 lets some directors, officers, and employees sell up to 10% of their holdings from the first trading days. A further 35% opens after the full-year 2026 results. The co-founders can sell up to 29% after 180 days or the first-quarter 2027 results, whichever is earlier. Holders keep the rest for up to a year. Business Insider counted 23 separate release dates in the year after the IPO.
What is a lock-up?
An agreement by existing shareholders not to sell for a set period after the IPO. The SEC's investor guide says it stops insiders "from selling their shares for a set period of time after an IPO." The usual period is 180 days. The aim is to stop a flood of insider shares hitting the market in the first weeks of trading.
How is Anthropic's lock-up structured?
In tiers, with release dates tied to both time and earnings reports. The terms below come from the S-1 as read by Business Insider, The Information, and other outlets. The final prospectus sets the exact terms.
Group | What can be sold | When |
Non-founder directors, officers, and certain employees | Up to 10% of holdings | From the first trading days |
The same group | A further 35% | After the full-year 2026 results |
The same group | The remainder | The earlier of 180 days or the first-quarter 2027 results |
Co-founders | Up to 29% | The earlier of 180 days or the first-quarter 2027 results |
Co-founders and holders above 0.5% | The remainder | The earlier of 365 days or the third-quarter 2027 results |
Other stockholders | About a quarter in four steps, then 12.5% | Days 27, 48, 62, and 76 after the prospectus filing, then after results |
As is standard, the lead banks, Goldman Sachs and Morgan Stanley, can release shares early.
Why does Anthropic use so many release dates?
To spread the supply out. A single 180-day expiry releases every locked share on one day, which can weigh on the price. Splitting the releases into many smaller pieces means each one arrives after investors have seen new results. Several of them follow earnings reports for that reason. It's a design more large tech listings have used in recent years.
What do Anthropic lock-up expiries mean for ANT?
They change how many shares holders can sell. Every release adds potential supply to the market, and supply is one of the things that moves a newly listed stock. Class N shares held by Amazon and Google add to that picture, because they convert into Class A shares when sold. Our article on Amazon and Google's stakes in Anthropic explains how. How will investors know when a release happens?
From the earnings calendar and the final prospectus. Several releases open after specific results, such as full-year 2026 and first-quarter 2027, so the earnings dates become the release dates. The final prospectus filed after pricing states the terms in full. That document carries the terms, and press summaries don't.
Key takeaways
- Anthropic's lock-up releases insider shares in stages across 23 dates in the first year, not on one 180-day expiry.
- The first release comes within days of the listing (up to 10% for some insiders). The co-founders' first release comes after 180 days or the first-quarter 2027 results, whichever is earlier.
- Several releases follow earnings reports, so the earnings calendar doubles as the lock-up calendar.
