Anthropic IPO Price: How the Range Gets Set and Moved

October 30, 2026  |  Anthropic Stock News

There's no Anthropic IPO price yet, and no price range either. The S-1 filed on October 26, 2026 leaves the range blank, reading "between $ and $" on the cover. A range appears in an amended filing before the roadshow. Anthropic and its banks then set the final IPO price after they take investor orders.

Has Anthropic announced an IPO price range?

No. The share count, the price range, and the prospectus date are all blank in the October 26 filing. A first public S-1 usually looks like that. SEC rules let a prospectus carry an estimated price range and share count until the price is set.

When will the price range appear?

In an amended S-1, before the roadshow. Because Anthropic first filed privately, its roadshow can't start until 15 days after the October 26 filing. The earliest start is November 10, 2026. The Wall Street Journal reported on October 26 that Anthropic could disclose its valuation and share details in about two weeks. The same report put the listing target at the week of November 16. Our Anthropic IPO tracker logs the amended filing when it lands.

How do the banks build the range?

By testing demand. Goldman Sachs and Morgan Stanley lead the deal. During the roadshow, the banks ask large investors how many shares they want and at what price. The SEC's own investor bulletin says the company and the underwriters decide where to set the offering price.

The range is published before those orders come in. They set the final price once the order book closes.

What can move the range before pricing?

Demand and the market. A full order book can push the final price to the top of the range or above it. Weak demand or a falling market can push it down, or delay the deal. For Anthropic, the reported valuation talk runs from about $1.5 trillion (Reuters, October 15) to $2 trillion or more (Financial Times, August). Neither is a price per share. Our article on Anthropic's valuation puts the figures side by side.

What is the greenshoe, and does Anthropic have one?

A greenshoe is an option that lets the banks buy extra shares from the company. They use it to meet demand after the deal prices. It's named after the first company to use one. Anthropic's S-1 cover shows such an option, with the number of shares still blank. FINRA rules cap it at 15% of the shares offered.

Can the final Anthropic IPO price differ from the range?

Yes. The range in the preliminary prospectus is an estimate. Anthropic sets the final price at pricing and files it in the final prospectus within two business days. What one share then costs depends on how many shares Anthropic has outstanding. Our article on how much one Anthropic share might cost walks through that arithmetic.

Key takeaways
  • No price range yet. The S-1 cover reads "between $ and $", and the amended filing with the range comes before the roadshow.
  • The banks publish the range first, then set the final price from the orders they take during the roadshow.
  • The final price can land above or below the range, and the greenshoe can add up to 15% more shares.
